These Terms and Conditions govern your use of https://digitallinks.net and your interactions with DigitalLinks Inc.
Separate proposals, statements of work, service agreements, invoices or order forms may apply to purchased services. If a signed agreement conflicts with these website Terms, the signed agreement will normally control for the applicable service.
1. Acceptance of Terms
By accessing our website, submitting a form, requesting a consultation, purchasing a service or otherwise interacting with DigitalLinks, you agree to these Terms.
Do not use the website if you do not agree.

The exact scope, pricing, deliverables and timeline for a project will be described in the applicable proposal, invoice or service agreement.
3. Website Information
Website information is provided for general informational and promotional purposes.
We try to keep content accurate and current, but we do not guarantee that every description, image, price, timeline, example or statement is complete, error-free or available at all times.
4. Quotes, Proposals and Project Scope
Unless otherwise stated:
- Quotes and proposals are valid for the period specified
- Work outside the approved scope may require an additional fee
- Timelines depend on timely client cooperation
- Changes may affect cost and delivery dates
- Work begins after required approvals and payments are received
Verbal discussions do not modify a signed agreement unless confirmed in writing by an authorized DigitalLinks representative.
5. Client Responsibilities
Clients are responsible for:
- Providing accurate information
- Supplying required content, credentials and approvals
- Responding within reasonable timeframes
- Ensuring they have rights to materials supplied to DigitalLinks
- Reviewing deliverables before approval
- Complying with laws applicable to their business
- Maintaining required licenses, disclosures and permissions
- Protecting account credentials
- Backing up important data where appropriate
- Paying invoices when due
Delays caused by missing content, approvals, access or instructions may extend the project schedule.
6. Fees and Payment
Pricing and payment schedules will be stated in the applicable proposal, invoice, checkout page or agreement.
Unless otherwise agreed:
- Deposits and setup fees may be non-refundable once work begins
- Recurring services are billed according to the agreed cycle
- Late or unpaid invoices may result in paused work or suspended services
- Third-party fees may be billed separately
- Taxes are the client’s responsibility where applicable
- Bank, payment-processing or currency-conversion charges may apply
DigitalLinks may require outstanding balances to be paid before releasing final files, transferring websites or continuing services.
7. Recurring Services
Recurring services may include hosting, maintenance, SEO, advertising management, automation monitoring, technical support or other managed services.
Unless otherwise agreed:
- Recurring plans continue until cancelled
- Cancellation must be submitted in writing
- Previously paid fees are not automatically refundable
- Services may remain active through the paid billing period
- Domains, hosting, software licenses or platform charges may have separate renewal terms
8. Advertising Budgets and Third-Party Costs
Advertising spend is normally separate from DigitalLinks management fees.
Clients are responsible for charges imposed by platforms such as Google, Meta, Amazon, hosting companies, domain registrars, software providers, AI providers, email services and other third parties.
DigitalLinks is not responsible for third-party price changes, suspensions, outages, policy changes or billing decisions.
9. SEO, Advertising and Business Results
DigitalLinks does not guarantee:
- First-page rankings
- A particular keyword position
- A specific number of leads
- A specific cost per lead
- Approval by an advertising platform
- Uninterrupted advertising delivery
- A particular sales or revenue result
- Acceptance into Amazon, Google, Meta or another platform
- Permanent search-engine or marketplace visibility
Results depend on many factors outside DigitalLinks’ control, including competition, budgets, website condition, market demand, platform policies, client responsiveness and algorithm changes.
Case studies and past performance are examples and do not guarantee future outcomes.
10. AI and Automation Services
AI-generated or automated output may contain errors, omissions or inappropriate responses.
Clients are responsible for reviewing and approving:
- Business information
- Customer-facing responses
- Knowledge-base content
- Automated messages
- Workflow actions
- Regulatory or industry-specific information
- Human-escalation procedures
DigitalLinks does not recommend using a general AI assistant as the sole decision-maker for legal, medical, financial, employment, credit, insurance or other high-impact decisions.
Human review should be used where accuracy, safety or professional judgment is important.
11. Hosting and Technical Support
We use reasonable efforts to maintain services covered by an active agreement. However, uninterrupted or error-free operation cannot be guaranteed.
Temporary interruption may occur because of:
- Maintenance
- Security updates
- Software conflicts
- Hosting-provider outages
- Internet failures
- Cyberattacks
- Third-party service failures
- Events outside our reasonable control
Support response times, backups, uptime commitments and restoration obligations apply only when specifically stated in a written service agreement.
12. Printing Services
Clients must review and approve proofs before production.
DigitalLinks is not responsible for errors approved by the client, including:
- Spelling
- Telephone numbers
- Addresses
- Prices
- Colors
- Dimensions
- Image resolution
- Bleed or trim requirements
- Quantity
- Material choice
Colors displayed on a monitor may differ from printed output. Reasonable production variations may occur.
13. Intellectual Property
DigitalLinks Materials
The DigitalLinks website, branding, layouts, original text, graphics, software and other materials are owned by or licensed to DigitalLinks and are protected by applicable intellectual-property laws.
You may not copy, resell, reproduce or distribute them without permission.
Client Materials
The client retains ownership of materials lawfully supplied to DigitalLinks.
The client represents that it has the necessary rights and permissions for all supplied content, trademarks, images, data and other materials.
Project Deliverables
Ownership and licensing of project deliverables will be governed by the applicable agreement.
Unless otherwise stated:
- Final approved deliverables transfer only after full payment
- DigitalLinks retains ownership of pre-existing tools, code, templates, processes and know-how
- Third-party assets remain subject to their original licenses
- DigitalLinks may retain internal archival copies
14. Portfolio Rights
Unless prohibited by a written agreement, DigitalLinks may identify a client and display non-confidential completed work in its portfolio, case studies, proposals, social channels or marketing materials.
Clients may request reasonable confidentiality restrictions in writing.
15. Confidentiality
Each party should use reasonable care to protect confidential information received from the other.
Confidential information does not include information that:
- Is publicly available without breach
- Was already lawfully known
- Is independently developed
- Is received lawfully from another source
- Must be disclosed by law
16. Acceptable Use
You may not use our website or services to:
- Violate laws
- Infringe intellectual-property rights
- Send spam
- Distribute malware
- Attempt unauthorized access
- Harvest personal information improperly
- Impersonate another person or organization
- Promote fraud or deception
- Interfere with website operation
- Abuse an AI chatbot or support system
- Conduct prohibited or harmful activity
We may restrict access or terminate services for suspected misuse.
17. Third-Party Services
Projects may use third-party platforms, software, plugins, APIs, AI models, hosting systems, payment processors or advertising networks.
Third-party services are governed by their own terms and policies. DigitalLinks is not responsible for their acts, omissions, outages, security incidents, account decisions or changes.
18. Disclaimer of Warranties
To the maximum extent permitted by law, the website and services are provided on an “as available” and “as is” basis, except for express commitments contained in a written agreement.
DigitalLinks disclaims implied warranties to the extent legally permitted, including merchantability, fitness for a particular purpose and non-infringement.
19. Limitation of Liability
To the maximum extent permitted by law, DigitalLinks will not be liable for indirect, incidental, special, consequential, exemplary or punitive damages, including loss of profits, revenue, data, goodwill or business opportunity.
Except where prohibited by law or stated differently in a signed agreement, DigitalLinks’ total liability arising from a service will not exceed the amount paid to DigitalLinks for the specific service giving rise to the claim during the six months before the event.
Some jurisdictions do not allow certain limitations, so parts of this section may not apply.
20. Indemnification
To the extent permitted by law, you agree to indemnify and hold DigitalLinks harmless from third-party claims arising from:
- Materials you provide
- Your products or services
- Your violation of law
- Your breach of these Terms
- Your misuse of the website or services
- Your infringement of another party’s rights
21. Suspension and Termination
DigitalLinks may suspend or terminate access or services where:
- Payment is overdue
- The client breaches an agreement
- Continued service creates a security or legal risk
- A third-party platform suspends required access
- The service is used unlawfully or abusively
Termination does not eliminate payment obligations already incurred.
22. Force Majeure
DigitalLinks is not responsible for delay or failure caused by events beyond reasonable control, including natural disasters, war, terrorism, labor disruption, internet failures, power outages, public-health emergencies, government actions or widespread third-party outages.
23. Governing Law
Unless a separate written agreement states otherwise, these Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles.
Subject to applicable consumer rights, disputes may be brought in courts located in Kings County, New York.
24. Changes to These Terms
We may update these Terms from time to time. The latest version will be posted with a revised “Last updated” date.
Continued use after changes become effective constitutes acceptance of the updated Terms where permitted by law.
